1. Scope & Acceptance / প্রযোজ্যতা ও সম্মতি

English:
These Terms apply to all overseas buyers using BanglaExports.com. By placing an order, RFQ, or payment, you agree to these Terms.

বাংলা:
এই শর্তাবলি BanglaExports.com ব্যবহারকারী সকল বিদেশি ক্রেতার জন্য প্রযোজ্য। অর্ডার বা পেমেন্ট করলে আপনি এই শর্তাবলিতে সম্মত হন।

2. Platform Role & Disclaimer / প্ল্যাটফর্মের ভূমিকা ও দায়মুক্তি

English:
BanglaExports.com is a digital marketplace only and does not sell, export, manufacture, or ship goods.

বাংলা:
BanglaExports.com শুধুমাত্র একটি ডিজিটাল মার্কেটপ্লেস; এটি বিক্রেতা বা পরিবহনকারী নয়।

3. Buyer Obligations / ক্রেতার দায়িত্ব

English:
Buyers must verify product specifications, quality, pricing, Incoterms, and vendor credentials before purchase.

বাংলা:
ক্রেতাকে পণ্যের মান, স্পেসিফিকেশন, মূল্য ও ইনকোটার্মস যাচাই করতে হবে।

4. Payment Terms / পেমেন্ট শর্তাবলি

English:
Payments must be made via SWIFT/TT, LC, or mutually agreed methods. All bank and FX charges are borne by the buyer.

পেমেন্ট SWIFT/TT, LC বা সম্মত পদ্ধতিতে করতে হবে। ব্যাংক চার্জ ক্রেতার দায়িত্ব।

5. Shipping, Insurance & Delivery Costs / শিপিং ও ডেলিভারি খরচ

English:
All freight, insurance, customs duty, VAT, and inland transport costs are borne by the buyer unless otherwise agreed.

ফ্রেইট, বীমা, কাস্টমস শুল্ক ও পরিবহন খরচ ক্রেতার দায়িত্ব।

6. Import Compliance / আমদানি কমপ্লায়েন্স

English:
Buyers are responsible for import permits, customs clearance, and regulatory compliance in the destination country.

বাংলা:
ক্রেতাকে নিজ দেশের আমদানি আইন ও কাস্টমস নিয়ম মানতে হবে।

7. Risk, Title & Incoterms / ঝুঁকি ও ইনকোটার্মস

English:
Risk transfer and title are governed by agreed Incoterms (EXW, FOB, CIF, DAP).

ঝুঁকি হস্তান্তর নির্ধারিত ইনকোটার্মস অনুযায়ী হবে।

8. Disputes & Limitation of Liability / বিরোধ ও দায়সীমা

English:
BanglaExports.com is not liable for disputes, shipment delays, losses, or customs rejection.

বাংলা:
BanglaExports.com কোনো বিরোধ বা ক্ষতির জন্য দায়ী নয়।

9. Governing Law & Jurisdiction / আইন ও বিচারব্যবস্থা

English:
These Terms are governed by the laws of the People’s Republic of Bangladesh.

বাংলা:
এই শর্তাবলি বাংলাদেশের আইন অনুযায়ী পরিচালিত হবে।

Indemnity / ক্ষতিপূরণ

English:
The Buyer/Vendor agrees to indemnify and hold harmless BanglaExports.com from any claims, losses, penalties, or damages arising from non-compliance, misrepresentation, or breach of these Terms.

ক্রেতা/বিক্রেতা BanglaExports.com-কে যেকোনো ক্ষতি, দাবি বা জরিমানার দায় থেকে মুক্ত রাখবেন।

Force Majeure / অপ্রত্যাশিত পরিস্থিতি

English:
Neither party shall be liable for delays or failure caused by events beyond reasonable control including natural disasters, war, strikes, or government actions.

বাংলা:
প্রাকৃতিক দুর্যোগ, যুদ্ধ, ধর্মঘট বা সরকারি আদেশজনিত বিলম্বের জন্য কোনো পক্ষ দায়ী থাকবে না।

Sanctions & Trade Compliance / নিষেধাজ্ঞা ও বাণিজ্য আইন

English:
Transactions must comply with UN, EU, US, and Bangladesh sanctions and trade laws. Prohibited destinations or entities are not allowed.

বাংলা:
জাতিসংঘ, ইইউ, যুক্তরাষ্ট্র ও বাংলাদেশের নিষেধাজ্ঞা আইন মেনে লেনদেন করতে হবে।

Dispute Resolution & Arbitration / বিরোধ নিষ্পত্তি

English:
Disputes shall first be resolved amicably. Failing that, disputes shall be subject to arbitration in Bangladesh.

প্রথমে আলোচনার মাধ্যমে বিরোধ মীমাংসা করা হবে, ব্যর্থ হলে বাংলাদেশে সালিশির মাধ্যমে নিষ্পত্তি হবে।
